Commercial license
In short
- Each paid seat licenses one named developer to use and modify the catalog for internal work, including commercial work, and to load it into their AI tools.
- Code and documents your agents produce are yours.
- Do not redistribute the catalog or share access with people who do not have a seat.
- After cancelling, you may keep using the versions you received. Updates need an active subscription.
- If you are a consumer, nothing here takes away your statutory rights.
This license covers only the private commercial catalog. The open-source NYX installer and the public planetis-m/skills repository (CC BY-NC-SA 4.0) have their own licenses.
1. Licensor and scope
Licensor: GERALIS A KAI SIA L.P., Makedonika, 34100 Chalkida, Greece (full company details in the terms); email verified.nim@gmail.com ("Licensor", "we").
This license covers the contents of the private commercial skills repository (currently verified-nim/skills) and any version of it obtained under an active subscription (the "Catalog"). The "subscriber" is the person or organisation that holds the subscription. It does not cover NYX or the public planetis-m/skills repository.
2. Grant
For each paid seat, the Licensor grants one named individual (the "Licensed Developer") a non-exclusive, non-transferable, worldwide license to use, copy and modify the Catalog for the internal purposes of the subscriber, including commercial work, and to load it into AI coding agents and tools used by that Licensed Developer. For an Individual subscription, the Licensed Developer is the subscriber.
Output produced by agents using the Catalog (code, documentation, etc.) belongs to the subscriber and is not restricted by this license.
3. Seats
- Individual subscription: one Licensed Developer.
- Team subscription (minimum 2 seats): as many Licensed Developers as paid seats. A seat may be reassigned to another person (e.g. when an employee leaves); the former holder's rights to future versions end.
- Repository access credentials and invitations may not be shared between people.
4. Restrictions
You may not redistribute, publish, sell, sublicense, or share the Catalog or substantial parts of it with anyone who is not a Licensed Developer of the same subscriber, including by committing it to public repositories or bundling it into products, skill marketplaces or training datasets offered to third parties. Copies inside private repositories that only Licensed Developers of the subscriber can access are permitted; others with access to such a private repository (e.g. non-licensed colleagues) need their own seat to use the Catalog. Uses that the law allows regardless of a license are not restricted.
5. Term and cancellation
Rights to future versions, corrections and new material last only while the subscription is active. After cancellation or expiry, the subscriber and its Licensed Developers may continue to use, under sections 2–4, the versions they lawfully received while subscribed, perpetually. Versions received under a payment that was refunded or reversed are excluded (section 9). The license terminates (including for received versions) if section 4 is materially breached and the breach is not cured within 30 days of written notice.
6. Ownership
The Licensor retains all intellectual property rights in the Catalog. No rights are granted except those stated here.
7. Quality and your statutory rights
The Catalog is guidance for AI tools. It is tested against the compiler versions stated in it, but it may be incomplete or wrong in places, and compiler and tool behaviour changes. You remain responsible for reviewing and testing any code or output. No support level, SLA or release schedule is promised.
Consumers: the Catalog must be supplied and conform to the contract as the law requires, including during the subscription period. You keep your statutory remedies for digital content that is not supplied or not in conformity (in the EU, Directive (EU) 2019/770 as implemented where you live, in Greece by Law 4967/2022; in the UK, the Consumer Rights Act 2015). Nothing in this license limits them.
Businesses: to the extent the law allows, the Catalog is provided "as is", without warranties beyond those stated here.
8. Liability
Nothing in this license limits or excludes liability for death or personal injury caused by negligence, for fraud, wilful misconduct or gross negligence, or any other liability that cannot be limited or excluded by law.
Consumers: we are liable under the applicable law. We are not liable for loss that was not reasonably foreseeable when the contract was concluded, or for loss caused by your use of the Catalog outside the scope of this license.
Businesses: subject to the first paragraph, our total liability is limited to the fees paid for the subscription in the 12 months before the claim arose, and we are not liable for indirect or consequential loss, lost profits or lost data.
9. Payments and refunds
Subscriptions are sold by Polar Software, Inc. ("Polar") as merchant of record. Polar's buyer terms govern payment, taxes and invoices. Refunds follow the refund terms: no refunds once repository access has been granted, except where mandatory law requires. If a payment is refunded or reversed, the license to the versions received under that payment ends and those copies must be deleted. This license governs use of the Catalog.
10. Law and courts
This license is governed by Greek law. The courts of Chalkida, Greece, have jurisdiction. If you are a consumer, you keep the protection of the mandatory rules of the country where you habitually reside, and you may also bring proceedings in the courts of that country.
11. General
If a provision is invalid or unenforceable, the rest of this license remains in force. Versions you received stay licensed under the license in force when you received them, unless you accept a later one. Questions: verified.nim@gmail.com.
